HOW301 OF THE ENGINEERING FIRM OF ALVORD, BURDICK AND HOWSON, TO SERVE THE CITY OF PADUCAH, KENTUCKY, AS ITS CONSULTANT, APPRAISER AND RSPRESINTATIVE IN ALL MATTERS PERTAINING TO THE ACQUISITION OF TIIE ELECTRIC UTIL2 Y SYSTEM OF THE KENTUCKY UTILITIES COMPANY IN PADUCAH, KENTUCKY; AUTHORIZING THE MAYOR TO ENTER INTO AND EXECUTE, FOR AND ON BEHALF OF TIIE CITY OF PADUCAH, A CONTRACT FOR THE EMPLOYMENT OF THE SAID LOUJS R. HOWSON BY THE CITY OF PADUCAH; AND PRESCRItING THE TERMS, CONDI IONS AND AGREEMENTS TO BE CONTAINED IN SAID CONTRACT BE IT ORDAINED BY THE BOARD OF COMMISSIONERS OF THE CITY F PADUCAH, KENTUCKY: SECTION 1. That the sum of not exceeding Eleven Thousand (511,000.00 Dollars be, and the same is hereby appropriated by the City of Pad for the employment of Louis R. Howson of the engineering firm of Alvord, Burdick and Howson, to serve as its consultant, appraiser and representative in all matters pertaining to the acquisition of the electric utility system in Paducah, Kentucky, said sum to be charged to the Contingent Fund upon the adoption of the npportionmi Ordinance for the year 1945, and the Mayor is.hereby authorized an( empowered, for and on oehalf of the City of Paducah, to enter into and execute a contract for the employment of the said Louis R. How; upon the following terms, conditions and agreements: "THAT the Engineer agrees to serve the City and the City hereby retains the Engineer as consdltant, appraiser and its representative on all questions pertaining to the acqusition of the electric utility system of the Kentucky Utilities Company in Paducah, Kentucky, under the franchise ordinance under which the company operates in the City of Paducah and the Engineer hereby" further agrees: - "(l) That in accordance with the franchise ordinance pro- visions he will individually and in cooperation with the dele- gated city officials, negotiate with the officials of the Kentucky Utilities Company in an effort to agree upon a price to be paid fox the properties to be acquired, and endeavor to reach a satisfactor agreement with the Kentucky Utilities Co. prior to January 28, 194 "(2) In the event that the effort to negotiate a satisfy purchase agreement as outlined in Number (1) above is unsuccesdfu the Engineer shall represent the City in the next step of pro- cedure in acquiring the properties of the Kentucky Utilities Co. as outlined in the franchise ordinance. IIe shall furnish 7 7-1 r,." tory 0 a a 1102 auch services as are necessary to adequately represent the City's interost, including the preparation or collaboration with the Company's Engineers in the preparation of an inventory suitable for use in an arbitration proceeding, shall make the appraisal and shall serve as the city's representative on the arbitra- tion board, constituted as provided in the franchise ordinance under which the Kentucky Utilities Co. now operates in 1-aducah, "For all of the services above outlined, the City agrees ti pay and the Engineer agrees to accept payment for work done on a per diem plus expanses basis. This shall be at the following per diem rates: For Mr. Howson Y1100.00 per day For Mr. Howson's Assistants Mr. Galloway or Ear. MacDonald 35.00 " 11 Other Engineers 25.00 Office ,assistants 10.00 Plus traveling and subsistence and other expenses necessarily incurred wholly in behalf of the City of Paducah. "Provided, however, it is understood and agreed that the t amount of the Engineer's charges for all work to be performed by h under the provisions of this contract shall not.exceed the sum of Eleven Thousand (?11,000.00) Dollara. "It is further understood and agreed that the Engineer sha subnit to the city on the first day of each month hereafter an ite statement of his and his assistants charges for work done during t previous month, said statement to be sworn to by him„ and the payu said charges shall be made by the city on or before the tenth day the month." tal SECTION 2.
