Sec, 9. That the purchaser of this franchise, or privi-
lege, shall not sell or transfer, said franchise or privilege
to any existing company operating in the city of Paducah,
or any company affiliating with such company now operat-
ing in the city of Pad tcah, or any other telephone com-
pany that would preve !t competition.

Franchise Grant to People's Independent Telephone Co.
Whereas, the cityof Paducah did$ by ordinance No.
u1g, passed by the Common Council, and approved by the
Mayor, February 3rd, 1902, and duly published in the of-
ficial paper of the city of Paducah, order a sale of a fran-
chise, for the period of twenty (20) ,years, to construct, es-
tablish, maintain and operate a telephone system and ex-
change in said city, to the highest and best bidder; and,
Whereas, the Mayor of the city of Paducah did, after ad-
vertising said sale for thirty (30) days, in accordaLnce with
the provisions of said ordinance, call for bids for said
franchise, between to o'clock a. in. and twelve noon, March
6th, 1902, at the door of the City Hall, in Paducah, Ken-
tucky, and Whereasb Frederick Hillman, John A. Turner,
William Sharpe, George B. Hillman, Frederick C. Kirken�
dill, James P. Gorman, George B. McLean, George Kirk-
endall and Joseph L. Dunn, of Wilkesbarre, Pennsylvania,
and R. E. Ashbrook, of Paducah, Kentucky, made a bid of
live hundred dollars ($500.00), which was the highest and

best bid offered for said franchise, and the same was
openly struck off to them, which franchise, or privilege, is
all and everything included in said ordinance first above
referred to, which is in words and figures, as follows,
to -wit:
Ordinance Number 1115.
An ordinance to provide for the sale of a franchise, or
privilege to construct, establish, maintain and operates tele-
phone' system and central' (commonly called exchange), in
the city of Paducah, Ky.
Be it ordained by the Mayor and Common Council of
the city of Paducah, Kentucky.
Section i. That there shall be sold to the highest bid-
der, for cash, for a term of twenty (so) years, a franchise,
or privilege, one or more, within the discretion of the said
Mayor of the said city of Paducah, Kentucky, to construct,
establish, maintain and operate a telephone system for pub-
lic and private use, in the city of Paducah, including the
necessary conduit, sub -ways, manholes,. wire, poles and
other equipments, and also,a right of way over, under and
along and through the streets, avenues, ailleys, park squares
bridges and public places in said city, excepting Broadway
from First street to the west line of Fifth street, for the
purpose of running the sub -ways, manholes, poles, wires
and other equipments necessary to construct, maintain, es-
tablish and operate said telephone system in "the city of Pa-
ducah, in accordance with the conditions, terms and limi-
tations of this ordinance, and said construction of said sub-
ways, ' manholes, poles, wires and other equipments neces-
sary to construct said system, is to be under the direction
of the city engineerand street committee.
Sec. 2. The purchaser of this franchise, or privilege,
~hall install and maintain a "Central Energy Telephone
System," with latest improved switchboard, fulfil multiple,
equipped with flashlight and complete "Central Energy, -
full metallic circuits, and telephone equipments, with long
distance transmitters, and centralized call and battery ser-
vice.
See. 3. The purchaser of this franchise, or privilege,
shall guarantee that the rates to be charged for telephones
in the city of Paducah,shall never exceed thirty dollart,

($30) per annum for business houses and offices, and eigh-
teen dollarsper annum for residences. It shall also be
guaranteed that every subscriber to its telephone system
in the city of Paducah, Kentucky, including any one whom
the said subscriber shall see fit to grant the use of the
'phone shall 'have the right to talk over she telephone to
every other subscriberin McCracken county, including any
one to whom such other subscriber may grant the use of
his 'phone, free of any charge or toll; and that every sub-
scriber in the city, including any ene to whom such sub-.
scriber may grant the use of his 'phone, shall have the right
to talk over the telephone system with any other subscriber
to its system, or any telephone system with which it has
cormectioninany county adjoining the countyof McCracken
at a toll rate which shall never exceed fifteen cents (t5c)
per message, where said message does not occupy more
than three (3) minutes in its transmission.
Sec. 4: The purchaser of this franchise, qr privilege,
shall furnish to the city, free of charge, ten 'telephones
(10) with full metallic circuits, to be placed at -such
places as the city shall direct. That the city shall have
the privilege of using the tops of the company's poles for
the purpose of placing wires thereon for fire and police
alarms.
Sec. 6. That the poles used by the telephone company
shald be- reasonably straight, set unifloctmly and painted,
some neutral color, said color to be selected by the street
committee and that all fixtures shall be put in in a safe and
srbstantial manner and shall be as neat in appearance as
possible.
Sec, y. The purchaser of this franchise, or privilege,
shall furnish a good and sufficient bond to the city of Pa•
ducah, in the sum of five thousand dollars ($5,000.00) to
protect the city of Paducah against any loss by reason of
eny damage to person or property, in consequence of any
act or omission of sai,9 purdhaser during the construction
and maintenance of said telephone system.
Sec. S. That with the purchase of this franchise, or
privilege, shall go the expense incurred by the city in pub-
lishing this ordinance and in advertising the sale of said
franchise, or privilegeand the bid of no person, or persons,
will be entertained or accepted who has not, prior to the
making of such bid, deposited with the Mayor of the city of

Paducah, sufficient money, or a certified check, to pay the
expense of such advertising; and said purchase price or bid
for said franchise, or privilege, together with the expense
(+i advertising this ordinance, and the sale of said franchise,
or privilege, shall be mmediately after the sale of said fran-
chise, or privilege, paid to the city by said purchaser
thereof and the said purchaser of said franchise, or privilege,

shall, within sixty 'days (60) from the date of said sale, be-
gin, in good faith, the installation of said telephone sys-
tem, according to the terms of this franchise, and shall
have same completed vjithin six (6) months thereafter.
Sec. q. That the purchaser of this franchise, or privi-
lege, shall not sell or transfer said franchise, or privilege,
U. any existing company now operating in the city of Pa-
ducah, or any company affiliating with such company now
operating in the city of Paducah or any other telephone
company that would prevent competition.

And, Whereas, said purchasers of said franchise have
paid to the city, cash in hand, the amount of the purchase
price of said franchise and have accepted the same by the
Payment of said purchase price, subject to any and all ordi-
nances pertaining to the erection and maintenance of tele-
phone systems, or lines, now in force in the city of Padu-
ca1h; and,w1hereas,the Common Council of said city has ap-
proved and ratified said sale and directed the Mayor to
make transfer of the same by a writing evidencing said
sale.
Now, therefore, in consideration .of the premises, the
matters and things hereinbefore set out, and the -payment of
the said five hundTed dollars ($50000), the receipt of
which is hereby acknowledged by the city of Paducah, the
said city of Paducah does hereby sell, grant, convey, trans-
fer and set over to said parties, the purchasers of said
franchise above mentioned, theiT successors and assigns,
the said franchise, or privilege, set out in said ordinance
hereinbefore quoted as sold by the Mayor of the city of
Paducah, under the terms of said ordinance.

People's Ind: Teleph. Franchise, Regulating telephone poles and wires.
In witness whereof the Mayor of said city of Padu-
cab, as such ofTicia}, and on behalf of the city, has here-
unto subscribed his name and affixed hereto the corporate
seal of said city, all of which is attested by the Counccil
Clerk, this the 7th day of 'MarCh, 1902.

Regulating Telephone Wires.

An ordinance regulating the manner of stringing wires
on• poles by telephone companies in the city of Paducah,
Kentucky:
Be it ordained by the Mayor and members of the Com-
mon Council .of the city of Paducah, Ky.
Section i. That hereafter -it shall be unlawful for any
telephone company now operating a telephone sytsem
in the city of Paducah, or any company that may hereafter
operate any telephone system insaid city of Paducah, to place
more than 20 wires on any pole, or nets of poles, forming a
line of telphone wires,without confining said wires in a ca-
ble and any telephone company violating this ordinance by
placing more than 20 wires on any one pole, not confined,
in a cable, shall, upon conviction in the Police Court of the
city of Paducah be fined in any sum not to exceed $50 for
each offense, and each day said wires shall remain , on
said poles more than 20 in number not confined in a cable,
shaD be a separate and distinct offense.
„ Sec. 2., This ordinance shall take:effeet from and after
its passage and approval.
