Refunding Bonds. "People'- Independent Telephone Franchise.
and accrued interest and to deliver the same or cause the
same to be delivered at, some bank in the city of New
York, to be designated by the Mayor, as the agent of the
city, for the purpose of effecting such delivery and receiv-
inir the ,proceeds thereof for and on behalf of the city- of
Paducah. And said proceeds shall be applied to the pay -
mens of the indebtedness proposed to be refunded herein be-
fore referred to, provided, however, that he. may exchange
said bonds at not less than par and accrued interest for a
like amount of the old bonds hereinbefore referred to at
par and accrued interest.
Sec. 6. The provisions of all ordinances inconsistent
herewith are hereby repealed and this ordinance shall take
effect immediately upon its passage and approval.

Sale People's Independent Telephone Franchise.
An ordinance to provide for the sale of the franchise.
or privilege to construct, establish, maintain and operate a
telephone system and central (commonly called exchange)
in the city of Paducah. ,
Be it ordained by the Mayor and Common Council of
the city of Paducah, Ky.:
Section t, That there shall be sold to the highest bid-
der, for cash, for a term of twenty years, franchise, or priv-
ilege, one or more, within the discretion of the Mayor of
the said 'city of Paducah, KY., to construct, establish.
maintain and _operate a telephone system, for public and

private use, in the city of Paducah, Ky., including the
necessary conduit, subwvay, manholes, wire, poles . and
other equipments, also a right of way over, under and
along and through rhe streets, avenues, alleys, park
squares, bridges and public places in said city, excepting
Broadway from First street to the west line of Fifth street,
for the purpose of running the sub -ways, poles, wires, and
other equipments necessary to construct, ma;ntain, estab-
lish and operate said telephone system in the city of Padu-
cah, in accordance wit) the conditions, terms and li nita-
tions of this ordinance and said construction of said sub-
ways, manholes, poles, wires and other equipments neces-
sary to construct said system, is under the direction of the
City Engineer and Street Committee.

Sec. 2. The purchaser of this franchise, or privilege,
shall install and maintain a "Central energy telephone sys-
tem" with latest improved switchboard, full Imult'ple, equ:p-
ped with flash -light and complete "Central energy," full me•
tallic circuits, and telephone egttipments, with long distance
transmitters, centralized call and battery service.
Sec. 3. The purchaser of this franchise, or pr:vilege,
shall guarantee that the rates to be charged for telephones
in the city of Paducah, shall never exceed $3o.00 per annum
for business houses and offices, and $18.00 per annum for
residences; it shall also be guaranteed that every sill--
seriber to its telephone system in the city of Paducah, Ky.,

county of McCracken, at a toll rate which shall never ex-
ceed 15 cents per message, where said message does not oc-
copy more than three minutes in its transmission.
See. 4. The Purchaser of this franchise, or privilege,
shall furnish the city to telephones, with full metalhic ciir-
cuits, to be placed at such places as the city shall direct.
Sec. 5. That the city shall have the privilege of using
the tops of the company's poles for the purpose of placing
wires thereon for fire and Police alarms.
Sec. 6. That the poles used by the telephone company
shall be reasonably 'straight, set uniformly,e
and paindti
some neutral color, said color to be selected by the Street
'Committee, and that all fixtures shall be Put in in a safe
and substantial manner, and shall be as neat in appearance
as Possible.
Sec. 7. The ptirchaser of this franchise, or privilege,
shall flirnish a good and sufficient bond to the city of Pa-
ducah, in the 8"m of five thousand dollars, to protect the
city of Paducah against any loss by reason of any damage
to person or property in consequence of any act or omis-
Sion of said purchaser during the construction and main-
tainance of said telephone system.
Sec. 8. That with the purchase of this franchise, or
privilege, shall go the expense incurred by the city in pub
*fishing this ordinance, and in advertising the sale of said
franchise, or privilege, and the bid of no person or Persons
will be entertained or accepted who has not, prior to the
making of bid, deposited with the Mayor of ;the city of Pa-
ducah sufficient money, or a certified check to pay the ex-
pense of such advertising, and said purchase price or bid.
for said franchise,or privilege, together with the expenses
of advertising 'this ordinance and the sale of said franchise,
or privilege, shall be immediately after the kale of said
franchise, 'or privilege, paid t . o, the, city by said purchiser
thereof; and the said purchaser of said franchise, or'privi-
lege, shall within. sixty days from the date of said sale, be' -

-according to the terms of this franchise, and shall have
same completed within six months thereafter.
Sec. 9. That the purchaser of this franchise, or privi-
lege, shall not sell or transfer, said franchise or privilege
to any existing company operating in the city of Paducah,
or any company affiliating with such company now operat-
ing in the city of Pad tcah, or any other telephone com-
pany that would preve tt competition.

Franchise Grant to People's Independent Telephone Co.
Whereas, the cityof Paducah did, by ordinaiice No.
11I5, passed by the Common Council, and approved by the
Mayor, February 3rd, 19o2, and duly published in the of-
ficial paper of the city of Paducah, order a sale of a fran-
chise, for the period of twenty (20) years, to construct, es-
tablish, maintain and operate a telephone system and ex-
change in said city, to the highest and best bidder; and,
Wljereas, the Mayor of the city of Paducah did, after ad-
vertising said sale for thirty (3o) days, in accordance with
the provisions of said ordinance, call for bids for said
franchise, between to o'clock a. m. and twelve noon, March
6tb, 1902, at the door of the City Hall, in Paducah, Ken-
tucky, and Whereas Frederick Hillman, John A. Turner,
William Sharpe, George B. Hillman, Frederick C. Kirken-
dall, James P. Gorman, George B. McLean, George Kirk-
endall and Joseph L. Dunn, of Wilkesbarre, Pennsylvania,
