ORDINANCE NO. 2007-1-7228
AN ORDINANCE AUTHORIZING AND DIRECTING THE MAYOR TO
EXECUTE AN ADDENDUM TO THE LEASE AND CONSTRUCTION AGREEMENT
BETWEEN THE CITY OF PADUCAH AND FOUR RIVERS CENTER FOR THE
PERFORMING ARTS, INC., FOR THE PERFORMING ARTS CENTER
WHEREAS, the City of Paducah and Carson Four Rivers Center entered into a
lease and Construction Agreement dated October 30, 2001, Ordinance No. 2001-10-6442,
establishing a performing arts center in Paducah, Kentucky; and
WHEREAS, Four Rivers Center for the Performing Arts, Inc. changed its name
by Amendment to its Articles of Incorporation filed with the Kentucky Secretary of State to
Luther F. Carson Four Rivers Center, Inc.; and
WHEREAS, Carson Four Rivers Center has caused to be constructed on the
Leased Site Property a Performing Arts Center Building, which held its grand opening on
February 28, 2004; and
WHEREAS, it was contemplated when the original Lease and Construction
Agreement was executed that two buildings on the Leased Site Property, the Summarell Building
and the Broyles Building, would be demolished for a parking area, but instead have been retained
for current and future use; and
WHEREAS, there has been some confusion as to the ownership of the Performing
Arts Center Building constructed upon the Leased Site Property and the parties desire to
eliminate said confusion and settle the issue; and
WHEREAS, the parties hereby also acknowledge an agreement made on the 28th
day of August, 2003, between the City, the Carson Four Rivers Center, and the Simpsons and the
Curtises regarding certain parking spaces; and
WHEREAS, the City agrees that the site designated as the "William Clark
Museum" in the original Lease and Construction Agreement is a part of the Leased Site Property
under all the terms and provisions of the original Agreement and the City shall cause the
Museum to relocate to another site; and
WHEREAS, the City agrees that the parking lot at the northwest corner of 2nd and
Washington Street is a part of the Leased Site Property under all the terms and provisions of the
original Agreement; and
WHEREAS, the parties desire to clarify other issues which have arisen since the
opening of the Performing Arts Center.
BE IT ORDAINED BY THE CITY OF PADUCAH, KENTUCKY:
Section 1. The City Commission does hereby authorize and direct the Mayor to
execute an addendum to the Lease and Construction Agreement between the City of Paducah and
Four Rivers Center for the Performing Arts, Inc., for the Performing Arts Center dated October
30, 2001.

Section 2. This ordinance shall be read on two separate days and will be
published by summary pursuant to KRS Chapter 424.
