MUNICIPAL ORDER NO. 1303
A MUNICIPAL ORDER AUTHORIZING THE CITY MANAGER TO
EXECUTE A LETTER OF EMPLOYMENT BETWEEN THE CITY OF PADUCAH
AND STEVE DOOLITTLE FOR EMPLOYMENT AS THE DOWNTOWN
DEVELOPMENT DIRECTOR FOR THE CITY
BE IT ORDERED BY THE CITY OF PADUCAH, KENTUCKY:
SECTION 1. That the City of Paducah hereby authorizes the City
Manager to execute a Letter of Employment between the City and Steve Doolittle for
employment as Downtown Development Director for the City of Paducah. A copy of the
agreement is attached hereto.
SECTION 2. The Downtown Development Director is a temporary
position with a 9 -month term of employment and will begin to serve his duties on June
27, 2007. The Director will serve at the pleasure of the Board of Commissioners and the
term may be extended or shortened by a vote of the Board.
SECTION 3. The City agrees to pay the Downtown Development
Director an annual base salary of $70,000 and a vehicle allowance of $500 per month.
Other terms and conditions are contained within the agreement as attached hereto.
SECTION 4. Salary will be charged to account no. 001 -0301 -518 -
(Downtown Development).
SECTION 5. This order shall be in full force and effect from and after the
date of its adoption.

RE: Offer of Employment
Dear Steve:
This letter describes the City's Offer to Employment to you as Downtown Development
Director.
1. APPOINTMENT
The Board of Commissioners hereby appoints Steve Doolittle as Downtown
Development Director of the City of Paducah. The Downtown Development Director is
an exempt position at Grade 62 reporting to the City Manager.
2. DUTIES
Downtown Development Director is responsible for planning and coordinating the
development of Paducah's Downtown Waterfront Area. Tasks to be accomplished as
a result of the Downtown Development Director's employment include:
• Creation of a Waterfront Development Corporation
• Certification by the State that Paducah's Waterfront Tax Increment Financing
District is eligible for funding from the incremental increase in State taxes.
• Preparation of a Development Plan for the Tax Increment Financing District.
• Acquisition of property for a new downtown hotel and other development
associated with Paducah's waterfront.
• Documentation for the Paducah/McCracken Convention Center Corporation that
the standards required by their leases of the Expo Center, Julian Carroll
Convention Center, and the Executive Inn real estate are all met by the
leaseholder.
• Construction of a new hotel in downtown Paducah.
• Construction of expanded convention facilities.
• Provisions to accommodate the 2008 and 2009 AQS Quilt Show regardless what
happens with the Executive Inn over the next two years.
• Preparation for the re -development of the approximately 27 acres of Convention
Center Corporation owned property along the Riverfront.

3. TERM
The Downtown Development Director is a temporary position with a 9 -month term
of employment. Within 9 months the City anticipates that a Paducah Waterfront
Development Corporation will be created and that Steve Doolittle may be a candidate
for the position of Waterfront Development Corporation Director.
The Downtown Development Director serves at the pleasure of the Board of
Commissioners. The 9 -month term may be extended or shortened by a vote of the
Commission. Nothing in this Agreement shall limit the right of the Board of
Commissioners to terminate the services of the Downtown Development Director at
any time.
4. BEGINNING DATE
Downtown Development Director will begin his duties on June 27, 2007.
5. DOWNTOWN DEVELOPMENT DIRECTOR COMMITMENTS
While serving as Downtown Development Director, Steve Doolittle agrees to remain
in the exclusive employ of the City, except that he may engage in occasional
teaching, writing or speaking on his own time. If outside compensation is provided
for such services, the Board of Commissioners shall be notified in advance.
6. INDEMNIFICATION
If the Downtown Development Director is sued for damages arising out of the
performance of his duties, the City shall provide defense counsel for the Downtown
Development Director in such suit and indemnify him from any judgment rendered
against him, provided that such indemnity shall not extend to any judgment for damages
arising out of any willful wrongdoing. Said indemnification shall extend beyond
termination of employment and the otherwise expiration of this Agreement to provide
protection for any such acts undertaken or committed in his capacity as Downtown
Development Director, regardless of whether the notice of filing of a lawsuit occurs
during or following employment with the City.
7. HOURS OF WORK
The minimum workweek for the Downtown Development Director shall be 40 hours plus
any additional time reasonably required to discharge the responsibilities of the office.
Since the Downtown Development Director must devote a great deal of time outside of
normal office hours to City business, he is allowed to take compensatory time off during
normal office hours.
8. SALARY
City agrees to pay Downtown Development Director an annual base salary of $70,000.
9. VEHICLE ALLOWANCE
The City will pay the Downtown Development Director a vehicle allowance of
$500/month.
10. RETIREMENT
The Downtown Development Director will participate in Kentucky's defined benefit
retirement program as provided by the City for the benefit of its employees.
11. LEAVE
The Downtown Development Director shall accrue sick leave at the rate of 1 1/2 days per
month and vacation leave at the same rate as other general employees beginning at a rate
of 5/6 days per month. The leave accrual limits that apply to other administrative
employees will apply to the Downtown Development Director.
12. PROFESSIONAL DEVELOPMENT
The City will pay the Downtown Development Director's professional association
subscriptions, memberships and participation costs, including attendance at an annual
professional association conference, and within budgetary limits will support his
continued professional development.
13. INSURANCE AND OTHER BENEFITS
The Downtown Development Director will participate in the City's health insurance and
other benefits on the same terms as provided for other administrative employees.
This offer of employment is conditional and based on your ability to successfully pass all
post employment offer testing/background investigations.
