MINUTES OF THE SPECIAL MEETING OF
THE BOARD OF DIRECTORS
DECEMBER 4, 2025
I. Call to Order and Roll Call
At 3:34pm on December 4, 2025, a special meeting of the Board of Directors of the Barkley
Regional Airport Authority was called to order by Emily Roark, Board Chair. The meeting was
held virtually over a video conferencing platform after being duly advertised as such. A
quorum of Directors was present throughout the meeting for the purpose of conducting
business.
Directors in Attendance: Jason Crockett; George Cumbee; Marshall Davis; Kelly Scruggs; Lanie
Fearon; Jeff James; Kevin Kauffeld; Dann Patterson; and Emily Roark
Directors Absent: Dan Knowles
Others in Attendance: Executive Director, Dennis Rouleau, and David Riley, Secretary and
Board Attorney.
II. Executive Session Pursuant to KRS 61.810(1)(c) and (g)
Director Scruggs made a motion to enter executive session pursuant to KRS 61.810(1)(c) and
(g). The motion was seconded by Director Patterson and passed by unanimous voice
acclamation without opposition. The Board entered executive session at 3:35pm.
The Board having concluded its discussions, Director Roark made a motion to exit executive
session. The motion was seconded by Director Scruggs and passed by unanimous voice
acclamation without opposition. The Board exited executive session at 4:13pm.
No final action was taken in the executive session.
III. Adjournment
Having concluded the Board’s business, Director Davis moved to adjourn the meeting. The
motion was seconded by Director Roark and passed by unanimous voice acclamation without
opposition. The meeting was adjourned at 4:14pm.
