Board of Directors Meeting
Minutes of January 23, 2019
CALL TO ORDER
The monthly meeting of the Paducah Transit Authority (PTA) was called to order by Board Vice Chair – Tommy Whittemore at 3:23PM. Members present were Durwin Ursery, Mark Davis, Bryan
Carner, and Patrick White. Executive Director – Arthur Boykin and Chuck Simpson – Human Resources Director / Secretary to the Board
Vice Chair – Tommy Whittemore led the Board in reciting the Pledge of Allegiance
Public Comments: N/A
REVIEW OF MINUTES
Following the review of the December, 2018 minutes, it was noted that there was an incorrect reference to October that needed to be changed to November. With the correction to the minutes
Mr. Mark Davis made a motion to accept the December meeting minutes. Mr. Bryan Carner moved to second the motion and it passed with all members voting yes.
REVIEW OF STATISTICAL AND FINANCIAL REPORTS
Mr. Boykin directed to the Board to the cash flow chart and stated that the current balance was at $1,586,000 and barring any unforeseen expenses the cash flow balance is projected to
be at $1.5 million at the fiscal year end. A review of the balance sheet was then conducted and Arthur noted that January 25th is a payroll issue date, the restricted capital balance
remains at $316,118.04 and reminded the board that those funds are restricted to vehicle acquisition as approved/directed by KY-OTD. Due to the addition of seven full time employees
the reserve in health benefit account balance will need to increase, and presently accounts receivable was at $123,075.30. Mr. Boykin stated that the P&L YTD was down 26.2% by comparison
and pointed out that although D&R fares were down by comparison, the fixed route revenue was up. At present Medicaid revenue was up $42,000 YTD. Following the review of the statistical
and financial reports Mr. Bryan Carner made a motion to approve. Mr. Mark Davis moved to second the motion and it passed with all members voting yes.
MANAGER’S REPORT
Mr. Boykin reviewed ridership data with the Board noting that December ridership was up 5.19% . It was then reported that two sources of transportation revenue had terminated. Due
to the recent United Airlines flight scheduling changes PATS will no longer need to provide pilot transportation to and from the airport and that service terminated following the first
week of January, 2019. In addition to that loss it was then reported that the Olmsted Dam transportation contract concluded at the end of December 2018.
On a final note Mr. Boykin informed the Board that there no accidents to report at this time. The only reports were two separate “mirror swipe” incidents.
OLD BUSINESS
Employee Insurance: Arthur informed the Board that due to adding seven full time D&R positions the health insurance cost has gone from 28 insured @ $1,136.00 = $31,808 to
35 insured @ $1,312.00 = $45,920 monthly total for 2019. Part of the increase also reflects the general increase in providing health insurance for 2019.
NEW BUSINESS
Annual Board Review of Procurement, Purchasing & Contracting Policy: Arthur reminded the Board of the required annual review. It was then noted that there were no changes to the current
policy that would require approval at this time.
Title VI Policy Review: Arthur informed the Board that it was once again time to conduct the annual review of the PATS Title VI discrimination policy document. There were no revisions
or updates to report at this time and Office Manager – Angel Bailey is the point of contact for the Title VI program.
Simulator Driver Training: Fulton County Transit now operates the driver simulator program and 25 PATS drivers recently went through refresher training.
Meeting with Mayor Harless about Board Appointments: The Board was informed that Arthur is scheduled to meet with the Mayor on January 24th at 2p.m. regarding the appointment / reappointment
of two current Board members. Following a brief discussion Arthur will share with Mayor Harless the input provided by the Board.
December 2018 Bank Reconciliation Approval: The reviews were conducted by Board Vice Chair – Tommy Whittemore and Executive Director Arthur Boykin and each cash account statement was
confirmed. Arthur then reviewed the credit card statement and vendor summary. Following the completion of the reconciliation review Mr. Bryan Carner made a motion to approve the
account reviews. Mr. Patrick White moved to second the motion and it passed with all members voting yes.
Executive Session: Mr. Mark Davis made a motion to go into executive session as permitted by KRS 61.810 (l) (f). Mr. Bryan Carner moved to second the motion and it was approved with
all members voting yes. Arthur Boykin and Chuck Simpson were excused from the session and recalled to board room upon completion of the session. Mr. Bryan Carner made a motion to
come out of executive session and Mr. Durwin Ursery moved to second the motion and it was approved with all members voting yes. No business items transacted during the executive session.
Executive Director’s Performance Review: Following the summarized report from the Board of Directors Personnel Committee, Mr. Mark Davis made a motion to increase the Executive Directors
annual salary by $5,000 and be retro-active to January 1, 2019. Mr. Patrick White moved to second the motion and it was approved with all members voting yes.

Adjourn – Mr. Mark Davis motioned to adjourn the meeting and Mr. Bryan Carner moved to second the motion. Meeting adjourned.
