A RESOLUTION AUTHORIZING AND DIRECTING THE CITY MANAGER
TO ADVERTISE FOR BIDS OR PROPOSALS FOR THE SALE BY THE CITY OF
PADUCAH, IENTUCKY OF RIVERSIDE HOSPITAL PROPERTY TO A 1101I -PROFIT
ORGA'•1IZATION; PROVIDING TIME TER4S AND CONDITIONS OF SUCH SALE
I'MREAS, by resolution adopted on April 2$, 1959 by the
Board of Commissioners of the City of Paducah, Kentucky, it
was determined that the Riverside Hospital property is no longer
needed to carry on a governmental function of such city, and
that it would be of more benefit to the public at large, the
City of Paducah and its taxpayers if such property was owned
and operated by a non-profit organization, if such organization
would give to the City a discount on its hospitalization cost
of authorized city charity patients over a period of years.
N0'V THEREFORE, BE IT RESOLVED BY THE BOARD OF CUP911ISSIONER3
OF THE CITY OF PADUCAH, KENTUCKY:
SECTION 1. That the City Manager be, and he is hereby,
authorized and directed to advertise for bids or proposals for
the sale by the City of Paducah, Kentucky of its Riverside
Hospital property, hereinafter described; to a non-profit or-
ganization, by which is meant an association no part of the
net earnings of which inures or may lawfully inure to the
benefit of any private shareholder or individual. All bids
or proposals made shall be subject to and comply with the
hereinafter terms and conditions and any sale of such property
made by the City shall be in conformity therewith:
a. All bids or proposals shall be for a cash purchase
price and none less than ;;251,000.00 will be considered.
b. All bids or proposals shall state the percentage of
discount from the prevailing rate for all hospital services to
be allowed to the City for its authorized charity services over
a period of twenty (20) years from the date of the transfer of
ownership; and such agreement from the purchaser shall be in-
corporated in any deed of conveyance executed by the City.
c. The Riverside Hospital property referred to herein
is described as follows:
The parking lot property at the north west corner of
4th and Clay Streets described as follows:

Beginning at a point 90 feet west of the
northwest corner of the intersection of 4th
Street and Clay Street; thence in a westerly
direction and along the north property line of
Clay Street 45 feet; thence in a northerly
direction parallel with 4th Street 61 feet and
9 inches to the center of an 8 foot alley; thence
in an easterly direction parallel with Clay Street
and along the center line of said 8 foot alley,
45 feet; thence in a southerly direction parallel
with 4th Street, 61 feet 9 inches to the point
of beginning.
Being the same property conveyed to the City of
Paducah, Kentucky by Ray Barrow and his wife,
Irene Elkins Barrow, by deed dated December 21st,
1944, and of record in Deed Book 282, page 527,

Beginning at the northwest corner of the inter-
section of Fourth Street and Clay Street; thence
in a westerly direction toward Fifth Street and
along the north property line of Clay Street 90
feet; thence in a northerly direction and parallel
with Fourth Street 65.75 feet; thence in an easterly
direction and parallel with Clay Street 90 feet to
the west property line of Fourth Street; thence
in a southerly direction and along the west property
line of Fourth Street 65.75 feet to the point of
beginning.
Being the same property conveyed to the.City of
Paducah, Kentucky by James Gillen and wife, Marie
Gillen, by deed dated November 10, 1944, and of
record in Deed Book 282, page 529, I%TcCracken
County Court Clerk's office.

Beginning at a point 135 feet west of the
northwest corner of the intersection of 4th
Street and Clay Street; thence in a westerly
direction along the North property line of
Clay Street 31 feet; thence in a northerly
direction and parallel with 4th Street 61 feet
and 9 inches to the center of an 8 foot alley;
thence in an easterly direction and parallel
with Clay Street and along the center line of
said alley 31 feet to a point in the Barrow line;
thence with the barrow line in a southerly direction
and parallel with 4th Street 61 feet and 9 inches
to the point of beginning.
Being the same property conveyed to the City of
Paducah, Kentucky by Owen M. Martin and his wife,
Dora Martin, by deed dated December 21st, 1944
and of record in Deed Book 282, page 531, McCracken
County Court Clerk's office.
The land, hospital building, equipment and supplies situated
at the north east corner of 4th and Clay Streets in Paducah, Kentucky,
said land being described as follows:
Beginning at the north east corner of the inter
section of Fourth Street and Clay Street; thence
in a northerly direction toward Park Avenue and
aith the east property line of Fourth Street 315.63
feet to a point 25 feet south of the inside face
of the existing concrete floodwall; thence at an

interior angle of 89 degrees 57-31LF minutes in an
easterly direction and parallel with said floodwall
156.08 feet to a point 13.5 feet from and at right
angles to the inside face of the concrete floodwall;
thence at an interior angle of 106 degrees 19 minutes
a distance of 32$.71 feet to the north property line
of Clay Street; thence at an interior angle of 73 degrees
1;9-1/4 minutes in a westerly direction and with the
north property line of Clay Street 248.22 feet to the
point of beginning.
Being a part of the same land conveyed to the City of
Paducah, Kentucky by George W. Norton, Executor, by
deed dated August 121
1904, and of record in Deed Book
73, -page 437 in the McCracken County Court Clerk's
office; and a part of the same land conveyed to the
City of Paducah, Kentucky by Charles T. Graham, et al
by deed dated August 9, 1904, and of record in Deed
Book 89, page 9, in said Clerk's office. However an
easement is to be retained, and is retained, by the
City of Paducah upon and over a strip of said land
ten (10)feet in width on the east side of same along
its full length from Clay Street northwrardly toward
Park Avenue, which easement is for sewer and floodwall
purposes, and no building or obstruction of any kind shall
be placed upon same.
d. Because of the fact Federal grants under the Hill -Burton
Act have been used in the construction of the hospital building and
the purchase of certain equipment, any successful bidder must be
certified by the proper officials to be qualified for ownership
of said property under said Act.
e. The existing bonded indebtedness against the property in
the sum of •;)241,000.00 with interest from January 1, 1959 will be
paid from the aforesaid minimum sale price of 5x251,000.00.
f. Included with the assets to be sold will be all notes and
accounts receivable owing to the hospital, which as of April 19, 1959
amounted to y'122,129,42. As of the time of closing the sale any
increase in said amount is to be added to the purchase price, and
any decrease shall be deducted from the purchase price.
g. The purchaser shall assume all notes and accounts
payable owing by the hospital, whibh as of April 19, 1959 amounted
to 5¢52,898.01. As of the time of closing the sale any increase in
laid amount is to be deducted from the purchase price, and any de-
crease shall be added to the purchase price.
h. Some of the equipment in connection with the hospital is
surplus acquired from the Department of Education, Division of
Property Utilization, Frankfort, Kentucky, and such surplus property
will not be transferred except under proper authorization from said
Restricted supplies such as narcotics and alcohol will
not be transferred except under authorization of the proper authorities.

j. Upon acceptance of any bid or proposal by an ordinance
adopted by the Board of Commissioners of the City, and compliance
by the purchaser of all terms and conditions set out herein, and
set out in such ordinance, the purchaser shall deposit the entire
cash purchase price in ascrow with Citizens' Bank & Trust Company
of Paducah, Kentucky; and at the same time the City will place
in escrow with said bank its executed deed and bill of sale
conveying the above set out property and assets to the purchaser.
Thereupon From such purchase price proceeds said bank will
immediately redeem and pay the entire outstanding bonded indebt-
edness against said hospital property known as "Municipal Hospital
Revenue Bonds, Series of 195211, which bonds were authorized by an
ordinance adopted by the Board o£c"Commissioners of the City of
Paducah on duly 8, 1952, in the principal amount of
and all acdrued interest thereon, and the 20 pre -payment privilege
charge as provided by the terms of said bonds, all of which are
owned and held by Idodern Woodmen of America of Rock Island, Illinois.
Upon the redemption of said bonds, interest and charges thereon, said
bank will deliver the aforesaid deed and bill of sale to the purchaser
and will pay to the Treasurer of the City of Paducah the remaining
balance of the purchase price proceeds.
k. The Board of Commissioners of the City of Paducah
expressly reserve the right to reject any and all bids or proposals,
and shall not be obligated to any bidder in any manner until the
adoption of an ordinance authorizing the acceptance of a bid or
proposal and the sale of said property and assets.
1. No bid or proposal shall be considered unless submitted
under seal by a non-profit organization as hereinbefore defined.
SECTION 2. The City Manager shall advertise for sealed
bids by posting a notice at the City Hall door, and by inserting
notice of the.request for bids or proposals in at least three (3)
issues of the Sun Democrat to be published once a week for three (3)
consecutive weeks. No bid shall be poened until the hour fixed
in the notice for the opening of same, and no bid shall be received
after such hour. All bids or proposals received by the City Manager up
to the time fixed in the notice for the opening of same shall be filed
with the Board of Commissioners of 'the City for its consideration.
