A RESOLUTION DETERMINING THAT THE RIVERSIDE HOSPITAL PROPERTY
IS NO LONGER NEEDED TO CARRY OId A GOVERNMENTAL FUNCTION OF THE CITY
OF PADUCAH, KENTUCKY; AUTHORIZING THE CORPORATION COUNSEL TO PREPARE
A RESOLUTION AND A14Y OTIER NECESSARY DOCUI,IENTS TO ADVERTISE FOR BIDS
FOR THE SALE OF SAID PROPERTY; AND PROVIDING THE TERMS AND CONDITIONS
OF SUCH SALE
;^IiIEREAS, the City of Paducah is the owner of land, buildings,
equipment and supplies known as Riverside Hospital property; which
hospital is being operated under provisions of Chapter 216 of
Kentucky Revised Statutes, and
:WHEREAS, the expenses to the City and the taxpayers thereof
of such operation have increased over a period of years, and
[WHEREAS, it is the opinion of the Board of Commissioners of
the City that such hospital property could be operated by a non-profit
organization in such manner as would be as much or more benefitial
to the public at large and at much less expense to the City and the
taxpayers thereof, and
[WHEREAS, Kentucky Revised Statutes 65.010 provides any city
may sell and convey any real estate owned by it upon a determination
by the legislative body that said real estate is no longer needed to
carry on the governmental functions of such city.
NOl THEREFORE, BE IT RESOLVED BY THE BOARD OF COIjIISSIONERS
OF THE CITY OF PADUCAH, IENTUCKY:
SECTION 1. It is hereby determined that the real estate owned
by the City of Paducah known as Riverside Hospital property is no
longer needed to carry on the governmental functions of the City;
that it would be of more benefit to the public at large, the City
and its taxpayers if such property was owned and operated by a non-
profit organization; if such organization would give to the City a
discount on its hospitalization cost of authorized city charity
patients over a period of yeard.
SECTIOI: 2. That such Riverside Hospital property be offered
for sale to a non-profit organization, by which is meant an
association no part of the net earnings of which inures, or may
lawfully inure to the benefit of any private shareholder or
individual; and that such offer shall contain substantially the
following terms and conditions:
a. No bid or proposal for less than ,,x251,000.00 cash will be
considered.

b. All bids or proposals shall state the percentage of discount
from the prevailing rate for all hospital services to be allowed
to the city for its authorized charity services over a period of
twenty (20) years.
c. The Riverside Hospital property referred to herein
briefly described as follows:
The parking lot property at the north wrest corner
of 4th & Clay Streets,
The land, buildings, equipment and supplies
situated at the north east corner of 4th and
Clay Streets, such land being bounded on the
west by 4th Street, on the south by Clay Street,
on the north and east by the floodwall right of
way.
d. Because of the fact Federal grants under the Hill -Burton
Act have been used in the construction of the hospital building and
the purchase of certain equipment, any successful bidder must be
certified by the proper officials to be qualified for ownership of
said property under said Act,
e. The e:_isting bonded indebtedness against the property in
the stun of ,:24.1,000,00 with interest from January 1, 1959 will be
paid from the aforesaid minimum sale price of N*a251,000.00,
f. Included with the assets to be sold will be all notes and
accounts receivable owing to the hospital, which as of April 19, 1959
amounted to •."122,129.4.2. As of the time of closing the sale any
increase in said amount is to be added to the purchase price, and
any decrease shall be deducted from the purchase price.
g. The purchaser shall assume all notes and accounts
payable owing by the hospital, which as of April 19, 1959 amounted
to ;52,$9$.01. As of the time of closing the sale any increase in
said amount is to be deducted from the purchase price, and any de-
crease shall be added to the purchase price,
h. Some of the equipment in connection with the hospital is
surplus acquired from the Department of Education, Division of
Property Utilization, Frankfort, Kentucky, and such surplus property
will not be transferred except under proper authorization from said
department.
i. Restricted supplies such as narcotics and alcohol will
not be transferred except under authorization of the proper authorities.
SECTION 3_ Any non-profit organization submitting a bid _ EED
or proposal under the terms and conditions of Section 2 hereof may

submit an additional proposal to assume the payment of the out-
standing Riverside Hospital Revenue Bonds in the sum of .;241,000.00
and accrued interest from January 1, 1959, such amount to be deducted
from its cash offer, provided such proposal is approved in a legal
manner by the holder or holders of such revenue bonds and the City
is legally relieved from all of its covenants and obligations to
such holder or holders of such bonds.
SECTION 4. The Board of Commissioners shall have the right
to reject any or all bids or proposals.
SECTION 5. The Corporation Counsel is hereby directed and
authorized to prepare a resolution authorizing the city Manager to
advertise for bids for the disposal of said hospital property under
the herein terms and conditions, and to prepare any other documents
in connection therewith for submission to the Board of Commissioners.
SECTION 6. This resolution shall be in full force and effect
from and after its adoption.
