AN ORDINANCE PROVIDING FOR TIME ACCEPTANCE OF THE OFFER OF JAMES A. HAGi1LTON
AND ASSOCIATES TO SERVE AS CONSULTANTS TO AND GIVE PROFESSIONAL ADVICE FOR THE
PROPOSED PLANNING OF THE ALTERATIONS OF AND ADDITIONS TO BE P;,DE TO THE RIVERSIDE
HOSPITAL; AUTHORIZING STUART JOHNSTON, THE MAYOR OF THE CITY OF PADUCAH, TO SIGN
FOR AND ON BEHALF OF THE CITY OF PADUCAH THE LETTER WRITTEN BY J. A. HAMILTON AND
ASSOCIATES TO THE RIVERSIDE HOSPITAL ON MARCH 28, 1951, AND APPROVING THE TERMS
AND CONDITIONS SET FORTH IN SAID LETTER AS CONSTITUTING SAID CONTRACT OF EMPLOYMENT
BE IT ORDAINED BY THE BOARD OF COMMISSIONERS OF THE CITY OF PADUCAH, KENTUCK
SECTION 1. That the City of Paducah employ J. A. Hamilton and Associated
to act as professional consultants in the determination of spacing utilization of
the present buildings in the expansion program of the Riverside Hospital in
Paducah, Kentucky, and in the planning of the alterations of the present buildings
and of the construction of additional buildings, and Stuart Johnston, the Mayor
of said city, whose signature shall be attested by Sarah Thurman, the City Clerk,
is hereby authorized and empowered, for and on behalf of the City of Paducah, to
subscribe his name as said mayor to the certain letter written by J. A. Hamilton
and associates to the Riverside Hospital, Paducah, Kentucky, on March 28, 1951,
which letter shall constitute the agreement between the parties thereto and is in
words and figures as follows, to -wit:

Gentlemen:'
In accordance with your request, we hereby submit the follow-
ing proposal covering professional counsel and services in
the determination of space utilization of the present build-
ings in the expansion program and in the planning of
the alterations of the present buildings and of the
construction of additional building or buildings.
We, James A Hamilton and Associates, hospital consul-
tants of Minneapolis, Minnesota, offer to be engaged by
the Riverside Hospital of Paducah, Kentucky, as follows:
UPACE UTILIZATION STUDY
A - CONSULTATION SERVICE SHALL INCLUDE:
1 - Analysis of present space and its utilization.
2 - Study of the operating functions of the hospital as
they affect space utilization.

4 - Recommendations regarding the utilization of present
facilities in the expansion program.
B - COMPENSATION TO James A. Hamilton and Associates shall
be absorbed in Building Consultation fees.
C - Actual traveling expense plus a per diem allowance of
512.00 for James A. Hamilton and the same per diem
allowance for not exceeding two assistants while en-
gaged in consultation on said project.

BUILDING CONSULTATION
A - CONSULTATIONd SERVICE shall include:
1 - Aid in the selection of an architect.
2 - Assistance to the architect in the preparation
of drawings and specifications of the new building
or buildings and the remodeling of present build-
ings by supplementing the architects services
in matters of technical hospital management and
planning.
B - PROVISIONS
L - It is agreed that James A. Hamilton and Associates
will be employed as building consultants to the
Riverside Hospital of Paducah, Kentucky, oh -the
planning and construction of any hospital, health,
and associated buildings, the architectural plan-
ining of which is started by the formal engaging of
an architect within five years after the completion
of the Space Utilization Study described above.
2 - It is agreed that James A. Hamilton and Associates
shall at all times act as the representative of
the Riverside Hospital of Paducah on these matters,
subject to their instructions only.
3 - It is agreed also that all plans and specifications
shall bear the identification cgrd of James A.
Hamilton and Associates, hospital consultants, in
addition to the card of the architect.
4 - It is agreed that in the event the building con-
sultation is interrupted and delayed less than five
years, the building consultation service will bere-
sumed at the point of interruption if progress on
the same basic plan is continued; if a new basic
plan is adopted, then it shall be considered as a
new project.
5 - It is agreed that in the event the building project
is abandoned, payment for consultation services ren-
dered by James A. Hamilton and Associates will be
satisfied by payments through the particular step
of the project in progress at the time the project
is abandoned. In such event, payment will be based
upon estimated cost rather than on actual cost of
the project.
C - COMPENSATION to James A. Hamilton and associates shall be:
1 - CONSULTATION FEE, which shall be a percentage of the
total cost of the building or buildings and fixed
equipment on which James A. Hamilton and Associates
has served as consultants, such percentage to be
according to the established schedule of James A.

Such consultation fee shall be paid in the following steps:
Step 1. A retainer fee of twenty percent (200) of
the estimated fee, the same to be based upon the
architect's estimate of the cost of construction and
of fixed equipment.

Step 2. An additional payment of fortk percent (40%)
of the estimated fee based upon the architect's estimate
of the cost of construction and of fixed equipment, the
same to be paid in monthly installments of ten percent
(100) each within four months next following the beginning
of building consultation, or the whole of said additional
payment to be paid upon the earlier completion of prelimi-
nary sketches if such earlier completion shall be requested
by the hospital commission.'
Step 3. An additional payment of twenty percent (20) of the
ewtimated fee based upon the architect's estimate of the
cost of construction and of fixed equipment on completion
of the preliminary designs.
Step 4. All remaining balance (based upon actual cost of
construction and fixed equipment), to be paid upon the com-
pletion of the building and its acceptance by the City of
Paducah
2. Actual traveling expense plus a per diem allowance of
Q12.00 for James A. Hamilton and the same per diem
j allowance for not exceeding two assistants while engaged
in consultation on said project.
EQUIPMENT CONSULTATION
A - CONSULTATION SERVICE
The services of James A. Hamilton and Associates, under
this agreement shall include the preparation of a list
(all or that portion determined by the Riverside Hospital)
on non -fixed equipment, clinical equipment, and furnish-
ings of the new buildings and specifications for their
purchase.
The service shall include:
1 - The furnishing of one copy of written purchase
specifications on each item of non -fixed equipment,
clinical equipment, and furnishingseto be included in
the consultation service.
2 - Recommendations to the Riverside Hospital in matters
pertaining to the securing of bids and to the purchasing
of equipment.
3 - Review of and recommendations on bids and on pro-
posed alternate specifications.
B - CPMPENSATION
Compensation for such services shall be five percent
(5%) of the cost of the equipment included in the
consultation, to be paid as follows: As invoices are
received monthly on such equipment, the Riverside
Hospital shall furnish James A. Hamilton and Associates
a list of items billed and the cost of purchase during
that month; such monthly payments to continue until the
total fee has been paid.
ENDORSEMENT
Endorsement of this memorandum of agreement by the authorized
representative of the Riverside Hospital of Paducah, Kentucky,
in acceptance of this agreement will be satisfactory to us
in lie u of a more formal contract.

SECTION 2. This ordinance shall be introduced at a regular meeting of the
Board of Copmissioners and remain on file one :reek for public inspection in the
completed form in which it shall be put- upon its final passage. Because of the
great increase in the population of the City of Paducah following the announceme
pf the construction of an atomic bomb plant on the site of the Kentucky Ordnance
Works near Said city, the present facilities are not sufficient to provide
adequate hospitalizatoon. The public health and safety requires that such
facilities be immediately furnished, an emergency is hereby declared, and this
ordinance shall be in full force and effect from and after its adoption.
