Proceedings of Board of Commissioners City of Paducah llcombor 5th, 1944
At a Regular Meeting of the Uoard of Commissioners held in the Commissioners'
Chamber at the City Hall, Paducah, Kentucky, at 7:30 o'clock P.M. on December 5, 1944,
Yayor Seaton presided and upon call of the Roll the following answered to their names:)
Commissioners Johnston, Pierce, Pulliam, Wagner and Vayor Seaton (5).

` Minutes of the previous meeting were adopted as read.
'.Pratt Commissioner Johnston offered the following motion: I move that the board of ,
letter
Commissioners receive and file Mr. R. M. Watt's letter of December lst with reference
` to the acquisition of the gas and electric system of the Kentucky Utilities Company,
and that the Mayor be authorized to address to Vr. Watt a reply reading as follows:
"This acknowledges receipt of your letter of Decemter let
and, with reference to the acquisition of the gas utility, we
wish to advise that although we only have the right and option
under the provisions of the franchise to purchase the electric
utility system, we think the city should also purchase the gas
system by agreement with you if both systems can be acquired
at a fair and reasonableP rice.

".7e sincerely hope that a price for both systems can be
agreed upon within the sixty day period. If this is not done
and we are required to take the further steps provided under
the franchise, the saleof the gas properties, if such sale
should ever be consummated, would necessarily be held in
abeyance until the last step for acquisition of the electric
system has been taken. r.e therefore believe that the opening
of negotiations with the view of transferring title to all
Eau and electric utility properties within the city might be
advantageous to both parties. As to whether an offer for the
gas system will be submitted is entirely up to you for, as we
say, we only have the right by contract to negotiate with your
company concerning the sale of the electric system.
"When you are ready to submit an offer, we will ask that you
let us know the amount which would be acceptable for the electric
system, and, in addition, the amount you would expect to receive
for the gas property. Please let us hear from you and if you
can come to Paducah, vie will arrange a meeting of the board on
any date which would be convenient.for you."

and Mayor Seaton (5).
