ORDINANCE NO. 2012-11-7986
AN ORDINANCE OF THE CITY OF PADUCAH, KENTUCKY, DECLARING
SUPPORT FOR AND AUTHORIZING CERTAIN ACTIONS TO ENABLE
G.P.E.D.C., INC., DOING BUSINESS UNDER THE ASSUMED NAME OF
THE GREATER PADUCAH ECONOMIC DEVELOPMENT COUNCIL, INC
TO PARTNER WITH TELETECH SERVICES CORPORATION FOR THE
DEVELOPMENT AND LOCATION OF A GENERAL AND
ADMINISTRATIVE OFFICES FOR CUSTOMER CARE CENTERS WITHIN
THE BOUNDARIES OF THE CITY OF PADUCAH, MCCRACKEN COUNTY
KENTUCKY; AND FURTHER AUTHORIZING THE EXECUTION OF
VARIOUS DOCUMENTS RELATED THERETO.
WHEREAS, the City of Paducah, Kentucky (the "City") has previously determined, and
hereby further determines, that it is a public purpose to reduce unemployment in the City, to
increase the City's tax base, to foster economic development within the City and to promote the
development of a skilled workforce, all to the benefit of the citizens and residents of the City;
and
WHEREAS, in order to accomplish the aforesaid public purposes the City has
determined that it is necessary and desirable that the City declare support for and authorize
certain actions to enable G.P.E.D.C., INC., doing business under the assumed name of the
GREATER PADUCAH ECONOMIC DEVELOPMENT COUNCIL, INC., a Kentucky not -for-
profit -corporation ("GPEDC") to partner with TeleTech Services Corporation ("TeleTech") to
develop and locate general and administrative offices for customer care centers with technical
support capabilities and other lawful purposes in a certain planned office park called the Paducah
Commerce Park located on McCracken Boulevard, Paducah, Kentucky (the "Commerce Park
Property"), and in a second location currently referred to as the Commerce Center located at 401
Kentucky Avenue, Paducah Kentucky, 42003 (the "Commerce Center Property"), all within the
boundaries of Paducah, McCracken County, Kentucky; (together, the "Project"); which
cooperative, mutual endeavor has been evidenced by a certain Memorandum of Understanding
dated November 1, 2012 and entered into by and between GPEDC and TeleTech; and
NOW THEREFORE, BE IT ORDAINED BY THE CITY COMMISSION OF THE
CITY OF PADUCAH, KENTUCKY, AS FOLLOWS:
Section 1. Declaration of Support. The City hereby declares support for the cooperative,
mutual endeavor of GPEDC and TeleTech to develop and locate the Project within the
boundaries of Paducah, McCracken County, Kentucky, as evidenced by that certain
Memorandum of Understanding dated November 1, 2012 (the "MOU"), and commits to assist
GPEDC in its endeavors to develop and locate the Project; and further authorizes the Mayor to
execute any agreements, instruments or documents which may be necessary to accomplish the
transaction contemplated by the MOU which are not inconsistent with this Ordinance and not
substantially adverse to the City.
Section 2. Transfer Authorization. To facilitate the development of the Project, the City
Commission does hereby approve the deed of conveyance, attached hereto, between the City of Paducah,
Kentucky and GPEDC conveying the Commerce Center Property located at 401 Kentucky Avenue,
Paducah Kentucky 42003, from the City to GPEDC for and in consideration of economic development.
The Mayor of the City of Paducah, Kentucky, is hereby authorized to execute and approve said deed of
conveyance, and to execute all documents which may be necessary to effectuate the aforesaid transfer of
the Commerce Center Property.
Section 3. Commitment to Invest in the Project. The City Commission does hereby
agree to commit monetary funds to the Project to assist GPEDC in its commitment to provide
Investment Funds for the construction of the customer contact center on the Commerce Park
Property and for the renovation of the Commerce Center Property as more particularly set forth
in the MOU. The specific amount of the monetary funds to be invested in the Project shall be
mutually agreed to by the City Manager and GPEDC, which amount shall not exceed $1.35
million.
Section 4. Severability. If any section, paragraph or provision of this Ordinance shall be
held to be invalid or unenforceable for any reason, the invalidity or unenforceability of such
section, paragraph or provision shall not affect any of the remaining provisions of this
Ordinance.
Section 5. Compliance With Open Meetings Laws. The City Commission hereby finds
and determines that all formal actions relative to the adoption of this Ordinance were taken in an
open meeting of this City Commission, and that all deliberations of this City Commission and of
its committees, if any, which resulted in formal action, were in meetings open to the public, in
full compliance with applicable legal requirements.
Section 6. Conflicts. All ordinances, resolutions, orders or parts thereof in conflict with
the provisions of this Ordinance are, to the extent of such conflict, hereby repealed and the
provisions'of this Ordinance shall prevail and be given effect.
Section 7. Effective Date. This Ordinance shall be read-o�-two separate days and will
become effective upon summary publication pursuant to KRS Chapter 424,

called Grantor, and, G.P.E.D.C., INC., doing business under the assumed name of GREATER
PADUCAH ECONOMIC DEVELOPMENT COUNCIL, INC., a Kentucky not-for-profit
corporation, of Post Office Box 1155, Paducah, Kentucky 42002-1155, Grantee.
WITNESSETH:
THAT FOR AND IN CONSIDERATION of a gift to Grantee to promote economic
development, tourism, workforce development and other related uses which are beneficial to the
economy and growth of the community, the receipt of which is hereby acknowledged, and
