AN ORDINANCE AMENDING ORDINANCE NO. 2009-12-7636, DIVISION
15, "PADUCAH RENAISSANCE ALLIANCE (PRA)" OF CHAPTER 2,
"ADMINISTRATION" OF THE CODE OF ORDINANCES, THE PURPOSE OF WHICH IS
TO RECONSTITUTE THE BOARD BY REDUCING THE NUMBER OF MEMBERS AND
SETTING FORTH NEW TERMS OF OFFICE FOR ALL DIRECTORS HEREAFTER
APPOINTED AND TO ALSO CLARIFY THE POWERS OF THE PADUCAH
RENAISSANCE ALLIANCE BOARD AND THE STATUS OF EMPLOYEES
WHEREAS, on or about December 8, 2009, the City of Paducah, Kentucky
adopted an ordinance containing certain provisions in Section 2 setting forth the membership,
appointment and term of the directors of the board of Paducah Renaissance Alliance; and Section
4 pertaining to staffing and organizational powers; and,
WHEREAS, the City Commissioners do now desire to amend the aforesaid
Section 2 and Section 4 so as to reconstitute the board by reducing the number of members and
setting forth new terms of office for all directors hereafter appointed and to also clarify the
powers of the Paducah Renaissance Alliance Board and the status of employees;
BE IT ORDAINED BY THE CITY OF PADUCAH, KENTUCKY:
SECTION 1. Name of Board. The name shall be the Paducah Renaissance
Alliance (PRA).
SECTION 2. Membership; appointment; and term. That Section 2-572,
"Membership; appointment; and term," of Chapter 2, Administration, of the Code of Ordinances
of the City of Paducah, Kentucky; is hereby repealed in its entirety and the following new
section is hereby adopted in its place.

Two (2) shall be appointed to a two (2) year- tefm.

"Section 2. Membership, Appointment and Term.
(a) The Mayor, and with the consent of the City Commission shall appoint up
to 15 members of the Paducah Renaissance Board. Each term, except for initial appointments,
shall be for 4 years each, and/or until their successors are appointed and qualified. No member
may serve more than 2 consecutive full terms. There shall be no limit as to the number of
nonconsecutive terms served. The initial appointees, as contemplated by this amendment, shall
include not less than 3 directors who have previously served as directors of the Paducah Main
Street Board of Directors.
(b) The new appointments to the board shall be effective as of December 1,
2010 and shall be staggered in the following manner:

(c) The terms of appointment for all directors and officers currently serving as
directors of the Paducah Renaissance Alliance Board shall be and are hereby, determined to
have been completed as of midnight, November 30 2010• provided however, any current
director may serve hereafter if appointed by the Mavor, and abbroved by the Citv
Commissioners, under (b) above.
SECTION 3. Duties of Board. That Section 2-573, "Duties of Board" of Chapter
2, Administration, of the Code of Ordinances of the City of Paducah, Kentucky; is hereby
amended as follows:
The duties of the board shall may include, but are not limited to, the following
activities and events, the priorities of which shall be determined and justified by the board in its
annual budget recut_
A. Administer the Artist Relocation recruitment program.
B. Administer the targeted business recruitment program.
C. In conjunction with the Convention and Visitor's Bureau (CVB),
coordinate marketing programs that support artists and businesses in
Downtown and Lowertown.
D. Manage events and festivals in the Renaissance area including, but not
limited to T o weftew Arts & r usie Festival, Second Saturdays, Screen on
the Green, Saturday Night After Dinner, and Old Market Days.
E. Serve as the Main Street Board implementing the traditional four -point
Main Street Program.
1. Design: Focuses on the aesthetics of the area by encouraging
rehabilitation of historic buildings, works with partners on long-
term planning and sensitive design management. The board shall
assist the City's Planning Department in the creation of design
guidelines for the Renaissance area.
2. Organization: Create goals by building a consensus and striving for
cooperation among the many groups who are involved in the
revitalization process. The governing board and
standing committees make up the fundamental organizational
structure of a volunteer -driven program. Volunteers are
coordinated and supported by a paid staff.,
3. Promotion: Markets the district's assets to consumers, investors,
new businesses, local citizens and visitors. This will be
accomplished through advertising, retail promotional activity,
special events, and marketing campaigns.
4. Economic Restructuring: Strengthens the districts existing
economic base while finding ways to meet new opportunities and
challenges. Economic Structuring and restructuring will focus on

converting unused or underused commercial space into
economically productive property and boosts the profitability of
the district.
F. Manage the Lowertown Texaco Station.
G. Manage the "Green" at 7th and Madison Streets.
H. Manage the Farmer's Market.

J. Maintain a core of volunteers to support the whole Renaissance area.
K. Administer the Downtown Retail Fence incentive program and expand it
to the whole Renaissance area.
L. Administer the Lowertown incentives program for Artists moving into the
neighborhood.
M. Support development of the Paducah School for the Arts.
N. Conduct fundraising events to support activities in the Renaissance Area.
O. Maintain continuing communication with artists, businesses, residents, and
other stakeholders of the Renaissance area.
SECTION 4. Paducah Riverfront Development Authority (PRDA). That Section
2-574, "Paducah Riverfront Development Authority (PRDA)," of Chapter 2, Administration, of
the Code of Ordinances of the City of Paducah, Kentucky; is hereby repealed in its entirety and
the following new section is hereby adopted in its place.
"Paducah Renaissance Alliance Board.
(a) The Paducah Renaissance Alliance Board (PRA Board) is hereby
delegated such lawful municipal powers as is necessary for it to carry out its designated mission
as set forth in Section 3 of Ordinance No. 2009-12-7636 as amended. The PRA Board will be
staffed by employees of the City of Paducah. The PRA Board shall be entitled to, and may, from
time to time, recommend specific staffing assignments to the City Manager. For all
administrative purposes PRA assigned employees will be and/or remain subject to city personnel
policies and such other regular benefits as provided to other city employees. The PRA Board
shall submit an annual budget request to the City of Paducah and shall annuallyoperate, unless
expressly approved by the City Commission, within the allocation of the budgeted sums. Once
the budgeted sum is approved for PRA it may not be altered, except by a majority vote of the
City Commission."
SECTION 5. Compensation. The member of the board shall serve without
compensation from the City, may not incur indebtedness to be paid by the City, and the City
shall not be responsible for debts incurred by said Board. Board members shall be reimbursed
for any expense for authorized travel, lodging and meals incident to their duties on said board.
SECTION -5 6. Area. The Paducah Renaissance Alliance Zone of Paducah shall
be as shown on the attached map.
SECTION g 7. Severability. If any section, paragraph or provision of this
Ordinance shall be held to be invalid or unenforceable for any reason, the invalidity or

unenforceability of such section, paragraph or provision shall not affect any of the remaining
provisions of this Ordinance.
SECTION -7 8. Compliance With Open Meetings Laws. The City Commission
hereby finds and determines that all formal actions relative to the adoption of this Ordinance
were taken in an open meeting of this City Commission, and that all deliberations of this City
Commission and of its committees, if any, which resulted in formal action, were in meetings
open to the public, in full compliance with applicable legal requirements.
SECTION 9 9. Conflicts. All ordinances, including Ordinance No. 2009-12-
7636, resolutions, orders or parts thereof in conflict with the provisions of this Ordinance are, to
the extent of such conflict, hereby repealed and the provisions of this Ordinance shall prevail and
be given effect.
SECTION -9- 10. Readoption and Affirmation. All sections, terms and provisions
of Ordinance No. 2009-12-7636, not directly in conflict with the express amendments as set forth
herein shall be, and they are hereby, deemed to be readopted and, by reference, incorporated
herein.
SECTION 11. Effective. This ordinance shall be read on two separate days and
will become effective upon summary publication pursuant to KRS Chapter 424.
