AN ORDINANCE AUTHORIZING THE MAYOR TO EXECUTE A SECOND
ADDENDUM TO THE LEASE AND CONSTRUCTION AGREEMENT BETWEEN THE CITY OF
PADUCAH AND FOUR RIVERS CENTER FOR THE PERFORMING ARTS, INC., FOR THE
PERFORMING ARTS CENTER DATED OCTOBER 30, 2001, BETWEEN THE CITY OF PADUCAH
AND LUTHER F. CARSON FOUR RIVERS CENTER, INC., AND PADUCAH & LOUISVILLE
RAILWAY, INC.
WHEREAS, the City of Paducah and the Luther F. Carson Four Rivers Center, Inc.
entered into a Lease and Construction Agreement dated October 30, 2001, by Ordinance No. 2001-10-
6442, establishing a performing arts center in Paducah, Kentucky; and
WHEREAS, the City of Paducah and the Luther F. Carson Four Rivers Center, Inc.,
entered into an Addendum to the Lease and Construction Agreement dated February 5, 2007, by
Ordinance No. 2007-1-7228, clarifying certain issues subsequent to the opening of the Luther F. Carson
Four Rivers Center, Inc.; and
WHEREAS, the City of Paducah is requesting the Luther F. Carson Four Rivers Center,
Inc., release and convey the lease interest rights, previously conveyed within the original Lease and
Construction Agreement, of certain property located on Marine Way between Clark and Adams Street,
described in the Agreement as "Released and Conveyed Property"; and
WHEREAS, the City of Paducah is desirous to convey, in part, the Released and
Conveyed Property to the Paducah and Louisville Railway, Inc. for construction of a new main office
building and, on the remainder portion of the property, the City has agreed to construct a parking lot for
joint use by the Paducah & Louisville Railway, Inc., and the Luther F. Carson Four Rivers Center, Inc.
BE IT ORDAINED BY THE CITY OF PADUCAH, KENTUCKY:
Section 1. The City of Paducah hereby approves the Second Addendum to the Lease and
Construction Agreement between the City of Paducah and Four Rivers Center for the Performing Arts,
Inc., for the Performing Arts Center dated October 30, 2001, between the City of Paducah and Luther F.
Carson Four Rivers Center, Inc., and Paducah & Louisville Railway, Inc., for the release and conveyance
of certain property located on Marine Way between Clark and Adams Streets. Further, the Mayor is
authorized to execute said agreement.
Section 2. The referenced property in Section 1 above will be utilized for construction of
P & L's new main office building and a new parking lot will be constructed by the City for joint use by P
& L and the Four Rivers Center for the Performing Arts.
Section 3. This ordinance shall be read on two separate days and will be published by
summary pursuant to KRS Chapter 424.
