AN ORDINANCE DEEMING IT NECESSARY TO CONDEMN AND
ACQUIRE FOR PUBLIC PURPOSES CERTAIN PROPERTY
INTERESTS IN REAL ESTATE LOCATED IN THE KENTUCKY
COUNTIES OF McCRACKEN AND MARSHALL IN CONNECTION
WITH PADUCAH POWER SYSTEM'S ELECTRIC PEAKING PLANT
POWER GENERATION PROJECT AND AUTHORIZING THE FILING
_ OF EMINENT DOMAIN PROCEEDINGS FOR THE ACQUISITION OF
SUCH EASEMENT INTERESTS
WHEREAS, the Electric Plant Board of the City of Paducah, Kentucky ("Paducah Power
System"), is a political subdivision of the Commonwealth of Kentucky organized, existing and
operating pursuant to KRS 96.550, et seq.; and
WHEREAS, Paducah Power System is authorized to establish, construct, acquire, own
and operate generation, transmission and distribution facilities, including easements, for
providing service to electric consumers within and without the boundaries of the City of
Paducah, Kentucky; and
WHEREAS, Paducah Power System has determined that for purposes of providing
reliable, low-cost electric service to its customers in the City of Paducah, Kentucky and
McCracken County, Kentucky, it is prudent and advisable for Paducah Power System to
construct, own and operate a nominal 100 -MW combustion turbine electric generating plant (the
"Project"); and
WHEREAS, Paducah Power System has further determined that for purposes of
supplying the combustion turbine electric generating plant with the natural gas needed for its
operation, it is necessary, prudent and advisable for Paducah Power System to construct, own
and operate a natural gas pipeline running underground from the Project site in McCracken
County, Kentucky, to the pipeline's interconnection with the natural gas transmission line of
Texas Gas Transmission, LLC in Calvert City, Kentucky; and
WHEREAS, the route selected by Paducah Power System for its pipeline runs primarily
within the right-of-way of a public highway and an existing electric transmission line easement
corridor; and
WHEREAS, the underground pipeline route crosses the tracts of property owned by the
persons identified and referred to in Section 1 below as "Owners"; and
WHEREAS, for construction, maintenance, repair and operation of the Project, Paducah
Power System generally requires a permanent pipeline easement twenty (20) feet in width and/or
a temporary workspace easement fifty (50) feet in width across, upon and under the property of
each of the Owners as more particularly described in Section 1 and Section 2 below (the
"Easements") and the fee simple acquisition of certain real property in Calvert City, Kentucky,
as more particularly described in Section 3 below upon which the Paducah Power System
pipeline will interconnect with the natural gas transmission facilities of Texas Gas Transmission,
LLC (the "Tap Site Parcel"); and
WHEREAS, Paducah Power System has authority pursuant to KRS 96.590 and 96.600 to
acquire by eminent domain the Tap Site Parcel and any of the Easements that it is unable to
acquire by agreement with the Owners thereof-, and
WHEREAS, Paducah Power System has been unable to acquire the Tap Site Parcel and
the Easements described in Section 1 below by agreement with the respective Owners of the Tap
Site Parcel and the Easements; and
WHEREAS, acquisition of the Easements and Tap Site Parcel in an expeditious manner
is critical to the successful completion of the Project;

NOW, THEREFORE, be it ordained by the City of Paducah, Kentucky:
Section 1. That public use and necessity require the acquisition by Paducah Power
System of the Easements for construction, maintenance and operation of the Project in the
furtherance of Paducah Power System's efforts to provide reliable and low-cost electric power
and energy to its present and future customers. Each of the permanent pipeline easements and
temporary workspace easements in McCracken County, Kentucky, required for the Project is
generally described in collective Exhibit "A" attached hereto. Each of the permanent pipeline
easements and temporary workspace easements in Marshall County, Kentucky, required for the
Project is generally described in collective Exhibit `B" attached hereto. For each Easement
described in Exhibit "A" and Exhibit `B", the owner or owners (each an "Owner") of the real
estate to be encumbered by the Easement (the "Property") and a general description of the
Property (by reference to deed recording data) are also provided.
Section 2. That with respect to the property of each of the Owners referenced in
collective Exhibits "A" and `B", Paducah Power System shall be authorized to acquire by
condemnation the following rights and interests:
A. A perpetual, non-exclusive easement to construct, reconstruct, use,
operate, maintain, repair, patrol, replace, upgrade, and remove an underground gas
pipeline, together with such conduits, apparatuses, equipment, devices, and/or other
facilities customarily associated with pipelines, and communication equipment and
facilities (including, but not limited to, fiber optic cables) in, under, through, over, upon
and across a strip of land up to twenty (20) feet in width, which strip of land is generally
depicted as a Permanent Gas Line Easement on the diagrams attached hereto as collective
Exhibits "A" and `B".
B. A temporary workspace easement over, upon, through and across a strip of
land up to fifty (50) feet in width, which strip of land is generally depicted as a
Temporary Construction Easement on the diagrams attached hereto as collective Exhibits
"A" and `B", for all purposes necessary for the proper and convenient installation of the
gas pipeline and communications facilities, including, but not limited to, ingress to and
egress from the Permanent Gas Line Easement and staging and storage of material and
trench backfill. Each temporary workspace easement shall remain in effect throughout
the construction, testing and warranty period.
C. The right of ingress and egress over the Property of Owners to and from
the Easements described above in the exercise of the rights and privileges described
herein; provided, however, that in exercising such rights of ingress and egress, Paducah
Power System shall, whenever, practicable to do so, use its adjoining Easement rights-of-
way or existing roads, trails or highways.
D. The right to go on the Permanent Gas Line Easement and the Property to
cut, trim, control, and remove trees, brush, and other obstructions which injure or
interfere with Paducah Power System's use, occupation or enjoyment of the easement
rights described above or Paducah Power System's right to construct, reconstruct, use,
operate, maintain, repair, patrol, replace, upgrade, or remove its equipment and/or
facilities.
E. Such other rights as are reasonably necessary for the convenient exercise
of Paducah Power System of the rights set forth above.
Section 3. That public use and necessity require the fee simple acquisition by Paducah
Power System of the Tap Site Parcel as more particularly described in Exhibit "C" attached
hereto.
Section 4. That in order to acquire each of the Easements described in Exhibit "A",
Paducah Power System is hereby authorized to institute condemnation proceedings in the
McCracken Circuit Court in the name of the Electric Plant Board of the City of Paducah,
Kentucky, as required by KRS 96.590(2), against each Owner and all other persons or entities
having an interest in the Property to be encumbered by each such Easement.
Section 5. That in order to acquire each of the Easements described in Exhibit `B" and
the Tap Site Parcel described in Exhibit "C", Paducah Power System is hereby authorized to
institute condemnation proceedings in the Marshall Circuit Court in the name of the Electric
Plant Board of the City of Paducah, Kentucky, against each Owner and all other persons or
entities having an interest in the Tap Site Parcel and the Property to be encumbered by each such
Easement.
Section 6. That if deemed necessary or advisable by counsel for the City of Paducah,
Kentucky, the City may be substituted as the sole petitioner or added as a co -petitioner in any
condemnation proceeding authorized herein.
Section 7. That the law firm of McMurry & Livingston, PLLC, shall be appointed
special counsel for the City of Paducah, Kentucky, to represent the interests of the City in all
condemnation proceedings authorized by this Ordinance and all costs, including attorney fees,
involved in or arising out of such proceedings shall be borne by Paducah Power System.
Section 8. That this Ordinance shall be read on two separate days and will become
effective upon summary publication pursuant to KRS Chapter 424.
